Conduit End User License Agreement

    1. Scope

    This End User License Agreement governs your use of software artifacts delivered through Conduit, including generated add-ins, installers, runtime packages, deployment bundles, and related release materials made available through the Conduit product.

    2. License grant

    Subject to your compliance with this Agreement and any applicable order, Conduit grants you a limited, non-exclusive, non-transferable, revocable license to install, access, run, and use the covered software for your internal business purposes.

    If you use the software on behalf of an organization, this license applies to that organization and its authorized users.

    3. Restrictions

    Except to the extent prohibited by law, you may not:

    • sell, sublicense, distribute, or make the software available to unauthorized third parties
    • remove or obscure proprietary notices
    • use the software to violate law, contracts, third-party rights, or professional obligations
    • use the software in a way that bypasses technical restrictions, access controls, or usage limits
    • introduce malicious code or use the software to harm systems, data, or users

    4. Third-party components

    The software may include or depend on third-party or open-source components. Those components remain subject to their own license terms, and those terms may grant you additional rights or impose additional obligations.

    5. Compatibility and platform dependencies

    Generated software may rely on third-party environments, SDKs, operating systems, Autodesk products, Autodesk Construction Cloud services, APIs, or account configuration.

    Conduit does not guarantee that the software will function in every environment, version combination, or project configuration.

    6. Validation and operational responsibility

    You are responsible for reviewing, testing, validating, and approving the software before any production, project, or customer use.

    You must not rely on the software for safety-critical, life-critical, emergency, or other high-risk use cases where failure, delay, or inaccuracy could cause injury, property damage, regulatory non-compliance, project loss, or other material harm.

    You are responsible for all consequences of installation, deployment, configuration, execution, and downstream use of the software.

    7. Data and telemetry

    Depending on the generated software and deployment mode, the software may exchange data with Conduit, Autodesk-related services, or other configured systems in order to function. You are responsible for ensuring you have all required rights and notices for any data processed through the software.

    8. Ownership

    Conduit and its licensors retain all rights in the Conduit platform, templates, delivery mechanisms, and related intellectual property, except as otherwise expressly granted in writing.

    9. Support and updates

    Conduit may, but is not required to, provide updates, fixes, or support for generated software. Availability of support may depend on your subscription, workspace status, platform changes, and the feasibility of supporting a specific generated artifact.

    10. Termination

    This Agreement ends when your right to use the software ends. Conduit may terminate or suspend this license if you violate this Agreement or if continued use creates legal, security, operational, or platform risk.

    Upon termination, you must stop using the software to the extent required by applicable law and contract.

    11. Disclaimer

    THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONDUIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, PERFORMANCE, SECURITY, ACCURACY, AND COMPATIBILITY.

    12. Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONDUIT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, BUSINESS INTERRUPTION, PROJECT DELAY, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF CONDUIT FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SOFTWARE WILL NOT EXCEED THE AMOUNTS PAID FOR THE RELATED CONDUIT SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

    13. Changes

    We may update this Agreement from time to time. Continued use of software governed by an updated version may require renewed acceptance.
